These Terms of Service ("Terms") constitute a legally binding agreement between you and TopXprts LLC ("TopXprts," "we," "us," or "our") governing your access to and use of the topxprts.com website (the "Site") and our services (the "Services"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
TopXprts provides AI-first search optimization services, including but not limited to Generative Engine Optimization (GEO), search engine optimization (SEO), Google Business Profile (GBP) management, local citation synchronization, content creation, and paid social and search advertising. The specific scope of Services will be defined in a separate proposal or statement of work agreed upon between you and TopXprts.
Search engine and AI platform algorithms are controlled by third parties (including Google, OpenAI, Microsoft, and others) and change frequently. TopXprts does not and cannot guarantee specific search rankings, Map Pack positions, AI citations, traffic volumes, lead counts, or revenue outcomes. Any performance figures, case studies, or examples presented on the Site are illustrative and do not constitute a promise of comparable results. Your results will vary based on your market, competition, budget, and other factors outside our control.
Unless otherwise agreed in writing, our Services operate on a month-to-month basis with no long-term lock-in. Either party may cancel with thirty (30) days' written notice. Fees for the current billing cycle are non-refundable, and you remain responsible for any work performed and costs incurred (such as ad spend) through the effective cancellation date.

Upon full payment, you own the final deliverables created specifically for your business (such as website copy and ad creative). TopXprts retains ownership of its proprietary methodologies, tools, templates, software, and pre-existing materials. The Site's design, code, and content are owned by TopXprts and may not be copied or reused without permission.
You agree not to misuse the Site or Services, including attempting to gain unauthorized access, transmitting malicious code, scraping content without permission, or using the Services for any unlawful, deceptive, or fraudulent purpose. We reserve the right to refuse or terminate Service for any business engaged in illegal activity or content that violates platform policies.
The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, TopXprts and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Site or Services. Our total aggregate liability for any claim shall not exceed the amount you paid to TopXprts in the three (3) months preceding the event giving rise to the claim.
You agree to indemnify and hold harmless TopXprts from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your content, or your violation of any law or third-party right.
These Terms are governed by the laws of the State in which TopXprts LLC is registered, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in that jurisdiction.
We may revise these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Your continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
